Friends proposes merger with Resolution Ltd
Friends Provident has followed up its rejection of a takeover approach from Resolution Limited with proposals for a merger of the companies.
Resolution Limited was formed by Clive Cowdery following the sale of Resolution Plc, the closed life consolidator also headed by Mr Cowdery until it was acquired by Pearl in 2007.
Friends was also in the bidding for Resolution Plc and its failure to acquire the group resulted in the life and pensions provider being forced into a far reaching review of the business.
According to reports, Friends is now proposing a merger with Resolution Limited in a move that would involve Resolution shareholders exchanging their shares for new shares in Friends Provident, which would become the group’s holding company.
It is understood that the proposed new entity would continue Resolution Limited’s declared mission of acquiring firms with restructuring potential in the banking, life insurance and asset management sectors.
